GIVEAWAY ENTRY PERIOD: The entry period for Solomon Brothers’s “Shine & Save Sweepstakes" (the "Giveaway") starts on February 2, 2025 at 11:59 PM Eastern Standard Time ("EST") and will end on February 9, 2025 at 11:59 PM EST ("Giveaway Entry Period"). One (1) winner will be selected on or around February 10, 2025 and notified by email. Winner will be selected subject to these Official Rules. Entry in the Giveaway does not constitute entry into any other promotion, contest, or sweepstakes. THIS GIVEAWAY IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH FACEBOOK, INSTAGRAM, TIKTOK, TWITTER, OR OTHER SOCIAL MEDIA PLATFORMS.

3. ELIGIBILITY: The Giveaway is open to current legal residents of the 50 United States (excluding Rhode Island) and Washington, D.C. All entrants must be 18 years of age or older or age of majority or older (in those jurisdictions where age of majority is over 18). Solomon Brothers, LLC ("Sponsor" or “Solomon Brothers”) employees and their immediate family members (parent, child, sibling and spouse of each) and those living in the same households of each are not eligible. Void elsewhere and where prohibited by law.

4. HOW TO ENTER: During the Giveaway Entry Period, sign up to receive email marketing messages from Solomon Brothers and Hotel Clermont via the opt-in form. You will receive one (1) entry for subscribing to email marketing messages. You must be subscribed via the applicable messaging channel at the time of drawing in order to win. The maximum number of entries per person is one (1). Entries received from any person, email address, or phone number in excess of the stated maximum will be void. Any attempt to obtain more than the stated number of entries by using multiple/different email or addresses, accounts, identities, registrations and logins, or any other methods, will disqualify all that participant's entries and that participant will be disqualified from the Giveaway and may be disqualified from future Solomon Brothers promotions. Any use of an automated system to participate is strictly prohibited and will result in disqualification from the Giveaway and all future Solomon Brothers promotions.

5. WINNERS AND ODDS: On or about February 10, 2025, the Sponsor will conduct a random drawing from among all eligible entries timely received. The odds of winning depend upon the number of entries received. One (1) prize will be awarded, consisting of one (1) Solomon Brothers $1,000 In-Store Credit (ARV: $1,000) and one (1) 1-night stay in the Ruby Suite at Hotel Clermont (789 Ponce De Leon Ave NE, Atlanta, GA 30306) (ARV: $659). Hotel accommodations must be reserved in advance and are subject to availability at the time of booking. No substitution, assignment or transfer of any prize is permitted, except by Solomon Brothers, who has the right to substitute a prize with another of comparable or greater value. No returns or exchanges of prizes permitted except at Solomon Brothers's sole discretion. All taxes in connection with the prize, and the reporting consequence thereof, are the sole responsibility of the prize winner. Prize winner may be sent a tax form 1099, or other appropriate tax document, in the event the average retail value of the prize requires Solomon Brothers to submit such form. Solomon Brothers may require a signed affidavit and/or completed W9 before awarding any prize. Prize winner may be required to pay shipping and handling fees. Solomon Brothers, may in its sole discretion, pay for shipping and handling for winners within our normal delivery areas for those jurisdictions. Any taxes or duties owed for shipping and handling fees will be the sole responsibility of the winner. Solomon Brothers will notify the winner via email or SMS to the email address or phone number provided at the time of entry, as applicable, within approximately seven (7) days following the drawing. Winner will have ten (10) days from the time of notification to respond, otherwise the prize will be forfeited and Solomon Brothers will not select an alternate winner. Solomon Brothers and its agencies are not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or winner's failure to adequately monitor any email account. Solomon Brothers reserves the right to disqualify any winner should winner be in violation of these Official Rules as determined by Solomon Brothers in its sole discretion.

6. RELEASE AND LIMITATION OF LIABILITY: By entering the Giveaway or receiving any prize, each entrant agrees to release and hold harmless each of Solomon Brothers and Meta Platforms, Inc. (parent company of Facebook and Instagram), and each of such party’s subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, employees, officers, directors, successors and assigns (collectively, the “Released Representatives”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Giveaway or receipt or use or misuse of any prize. The released parties are not responsible for: (1) any incomplete, incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the promotion; (2) any lost or misdirected mail, or any technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Giveaway; (4) technical or human error which may occur in the administration of the Giveaway or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Giveaway or receipt or use of misuse of any prize. Entrant agrees to release and hold each of Solomon Brothers and Meta Platforms, Inc., and each of such party’s Released Representatives harmless from any and all consequences, liability, losses, damages (including without limitation, consequential, punitive, incidental, special or increased damages and those related to personal injury, death or damage to property) and costs and expenses, of any kind, under any legal theory, arising from or related to this Giveaway, including but limited to entrant's entry and participation in this Giveaway, the acceptance and/or use (or misuse) of any prize, printing errors, any claims based upon rights of publicity and invasion of privacy. Solomon Brothers is not responsible for any fraud or misconduct on the part of the entrants. Should an entrant engage in fraud or misconduct of any nature, including but not limited to a violation of these Official Rules, that participant is subject to immediate disqualification from the Giveaway and perhaps future Solomon Brothers promotions. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another entry in the Giveaway, if feasible; if not feasible (as determined by Sponsor in its sole discretion), entrant shall have no remedy or recourse against Solomon Brothers whatsoever. In the event that production, technical, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed (i.e., more than (1) prize), Solomon Brothers reserves the right to award only the stated number of prizes (i.e., the prize) by a random drawing among all legitimate, un-awarded, eligible prize claims.

DISCLAIMER OF REPRESENTATIONS AND WARRANTIES: Solomon Brothers makes no representations or warranties of any kind, express or implied, regarding your participation in the Giveaway or any prize of any kind. The Giveaway, the prize, and all materials provided on or through the Giveaway are provided "as is" without warranty of any kind, either express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Prizes awarded through the Giveaway are not subject to Solomon Brothers's warranty for purchased products and will have no eligibility for repair or replacement for any defects.

8. PRIVACY AND USE OF GIVEAWAY INFORMATION: Solomon Brothers and Hotel Clermont collect personal information from you when you enter this Giveaway. All entrant information is subject to Solomon Brothers’s Privacy Policy, which may be found at https://www.solomonbrothers.com/our-policies#security. Solomon Brothers and Hotel Clermont reserve the right to use any information collected in accordance with the Privacy Policy. Except where prohibited, participation in the Giveaway constitutes entrant's consent to Solomon Brothers's and Hotel Clermont use of entrant's name, prize information, likeness, voice, opinions, biographical information, hometown and state and all or a part of entrant's entry for promotional purposes in any media without payment or consideration, and without notice to, or prior review or approval from, entrant. Within five days of receiving notice, Solomon Brothers may also require potential winner to sign an affidavit of eligibility, liability release and a publicity release that, among other things, will allow Solomon Brothers to use entrant's name, photograph, likeness, voice, prize information, and biographical information for publicity and promotional purposes without further compensation, and without notice to, or prior review or approval from, entrant, where permitted by law.

Notice of Financial Incentive (California residents): This Giveaway may be considered a “financial incentive” under the California Consumer Privacy Act because we are giving entrants something in exchange for the collection and retention of their personal information. The value of such personal information is related to the value we offer to entrants for participation in the Giveaway and varies based on several factors, including whether entrants respond to marketing offers from us or subsequently opt out, as well as our costs associated with administering the Giveaway. CHOICE OF LAW AND JURISDICTION: Giveaway official rules and the rights and obligations of Solomon Brothers and participants will be governed by, construed, and enforced in accordance with the laws of the State of California, United States of America, without regard to any choice of law principles. All actions, proceedings or litigation relating hereto will be instituted and prosecuted solely within the State of California, San Francisco County. Entrant hereby agrees and irrevocably consents to submit to the exclusive jurisdiction and venue of the courts of the State of California and of the United States of America located in the State of California, United States of America, for any and all claims arising from or related to this Agreement.

10. GIVEAWAY SPONSOR: Solomon Brothers is responsible for the collection, submission and processing of entries and the overall administration and execution of the Giveaway.
